LIFE INSURANCE HELP DESK – TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the website, platforms, tools, and services offered by Help Desk Financial LLC, operating under the DBA “Life Insurance Help Desk” (“Company,” “we,” “our,” or “us”). By accessing or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Services.
 
SECTION 1. INTRODUCTION
Life Insurance Help Desk provides appointment scheduling, lead generation, quoting assistance, consumer education, and related life-insurance-focused services. These Terms apply to all visitors, users, consumers, and individuals interacting with the Services. By using the Services, you affirm that you are at least 18 years old and legally capable of entering into these Terms.
 
SECTION 2. DEFINITIONS
“User” or “you” refers to any individual accessing or using the Services for any purpose.
“Agent” refers to licensed life insurance professionals affiliated with or contracted through the Company.
“Partner Broker” refers to third-party licensed brokers with whom the Company may collaboratively work or to whom leads may be transferred when appropriate.
“Content” refers to all text, images, videos, documents, forms, tools, and educational materials made available through the Services.
 
SECTION 3. BUSINESS STRUCTURE
Life Insurance Help Desk operates as a DBA of Help Desk Financial LLC, a Virginia limited liability company. The Company conducts marketing and appointment-setting operations in multiple jurisdictions, including Virginia, Washington D.C., Maryland, and West Virginia. The Company will continue to operate as an LLC after transitioning into full brokerage activities and may expand its service scope consistent with applicable insurance regulations.
 
SECTION 4. SCOPE OF SERVICES
The Company currently provides life insurance appointment setting, lead generation through online and offline channels, quoting assistance, and educational materials pertaining to insurance concepts. As the Company transitions into a licensed brokerage, Services may expand to include agent-matching services, direct policy sales through licensed agents, side-by-side policy comparisons, and other lawful brokerage functions. The Company does not provide legal, tax, or investment advice. Educational materials may include general financial information relating to life insurance, but such materials are not intended as professional financial advice.
 
SECTION 5. USER RESPONSIBILITIES
Users agree to provide accurate, complete, and truthful information when interacting with the Services. Users shall not use the Services for any unlawful, fraudulent, harassing, abusive, or unauthorized purpose. Users must be at least 18 years of age to schedule appointments; minors may only be insured through a parent or legal guardian. Users are responsible for adhering to all applicable federal, state, and local laws governing their use of the Services.
 
SECTION 6. LEAD GENERATION, COMMUNICATION, AND CONSENT
By submitting personal information through the Services, Users expressly consent to receive communications from the Company, including emails, phone calls, and SMS text messages, for the purpose of appointment scheduling, insurance consultation, and service-related updates. Such communications may be delivered through automated systems in compliance with the Telephone Consumer Protection Act (TCPA) and related laws. The Company may share User information with licensed Agents or Partner Brokers for insurance-related follow-up and service delivery. Users may revoke consent for SMS messaging at any time by replying “STOP.”
 
SECTION 7. INTELLECTUAL PROPERTY
All Content, including trademarks, logos, graphics, written materials, website layout, and proprietary tools, is the property of Help Desk Financial LLC or is used under license. Users may not copy, reproduce, distribute, modify, translate, publish, or create derivative works from the Content without prior written authorization. Automated scraping, data harvesting, or unauthorized data extraction is strictly prohibited.
 
SECTION 8. LIMITATIONS OF LIABILITY
To the fullest extent permitted by law, the Company, its owners, officers, directors, employees, agents, contractors, and affiliates disclaim liability for any indirect, incidental, special, consequential, exemplary, or punitive damages. The Company is not responsible for inaccuracies in third-party information, delays or errors caused by insurance carriers or vendors, losses arising from User misrepresentation, or decisions made by insurance carriers regarding underwriting, approvals, denials, ratings, or claims. Users assume all risks associated with using the Services and acknowledge that insurance outcomes depend on carrier decisions outside the Company’s control.
 
SECTION 9. WARRANTY DISCLAIMER
The Services are provided “as-is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. The Company disclaims any warranty of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement. The Company does not guarantee uninterrupted operation, error-free performance, or that the Services are free of viruses or harmful components.
 
SECTION 10. PAYMENT AND COMMISSIONS
Users are not charged direct fees for accessing the Services. In the future, brokerage operations may involve commissions, fee-based arrangements, or compensation structures processed through licensed agents consistent with state insurance laws. The Company is not responsible for User mismanagement of payments, premium obligations, or agent-earned commissions.
 
SECTION 11. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration pursuant to the rules of the American Arbitration Association. Users may additionally file qualifying claims in small claims court. Users waive the right to participate in any class action, collective action, or representative proceeding against the Company.
 
SECTION 12. THIRD-PARTY RELATIONSHIPS
The Services may contain links to third-party carriers, platforms, quote systems, or external resources. The Company is not responsible for errors, omissions, delays, outages, or damages caused by third parties, including partner brokers, carriers, or technical service providers. Users acknowledge that third-party terms, privacy policies, and practices may differ from those of the Company.
 
SECTION 13. MODIFICATIONS AND TERMINATION
The Company reserves the right to modify, suspend, or discontinue the Services at any time without prior notice. The Company may suspend or terminate User access for violations of these Terms, suspected fraud, misuse, or other conduct deemed harmful to the Company. Updated Terms may be posted on the website and become effective immediately upon posting. Continued use of the Services constitutes acceptance of the revised Terms.
 
SECTION 14. PRIVACY AND DATA SECURITY
A separate Privacy Policy governs the Company’s collection, use, and retention of personal information. Users are responsible for securing any login credentials associated with their account (if applicable). The Company is not liable for data breaches, outages, or security incidents originating from third-party platforms or vendors outside the Company’s control.
 
SECTION 15. FUTURE BROKERAGE OPERATIONS
As the Company transitions into full brokerage operations, contracted agents may be granted limited access to internal systems pursuant to separate agent agreements. Agents may upload client information for permitted purposes but may not submit applications through the platform unless expressly authorized. Errors and omissions (E&O) obligations apply separately and individually to agents. Agent misconduct remains the responsibility of the agent except where applicable law requires Company oversight.
 
SECTION 16. MISCELLANEOUS
These Terms constitute the entire agreement between the User and the Company regarding the Services. If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. A failure by the Company to enforce any right or provision does not constitute a waiver of such right or provision. The Company is not responsible for failures caused by force majeure events, including natural disasters, outages, supply chain disruptions, or circumstances beyond the Company’s reasonable control.
